Terms of Service

These Terms of Service (the “Terms”) govern your use of AdRefresh (the “Service”), operated by TDY Group LLC, 30 N Gould St Ste R, Sheridan, WY 82801, USA. By creating an account or using the Service, you agree to these Terms.

1) Agreement

These Terms form a binding agreement between you and TDY Group LLC. If you are using the Service on behalf of an entity, you represent that you are authorized to accept these Terms on its behalf.

2) Accounts & eligibility

  • You must be at least 16 years old, or the age required by your jurisdiction, to use the Service.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • We may suspend or terminate accounts that violate these Terms or pose a risk to the Service or others.

3) Plans, billing & taxes

Basic — $29/month

  • Quota: 250 uniques/month
  • Batch: up to 5 files per run; 275 MB per file
  • Queue: Standard
  • Storage of results: 7 days
  • Support: Email support
  • Options: Install AI Mesh, Replace Music, Apply Color Correction, Trim Start & End, Speed Up Video, Remove Metadata, Add iPhone Metadata; Images: Flip, Color Correction, Remove Metadata

Enterprise — $95/month

  • Quota: Unlimited uniques*
  • Batch: up to 5 files per run; 500 MB per file
  • Queue: Highest‑priority queue
  • Storage of results: 30 days
  • Support: Priority support and invoicing available
  • Private Telegram channel
  • Options: same as Team

Team — $49/month

  • Quota: 1000 uniques/month
  • Batch: up to 5 files per run; 275 MB per file
  • Queue: Priority queue
  • Storage of results: 14 days
  • Support: Priority support, invoicing available, private Telegram channel
  • Options: same as Basic

We offer three plans — Basic, Team, and Enterprise. Pick the one that matches how many uniques you need each month (Basic: 250, Team: 1000, Enterprise: Unlimited). Need something different? Ask about our Custom Enterprise plan (e.g., dedicated support or custom terms).

Billing. Subscriptions renew automatically each billing cycle unless cancelled. You authorize us and our payment processor to charge your payment method for the applicable fees and taxes. We may change prices with reasonable notice for the next term. Taxes (e.g., VAT) may apply.

Cancellation & refunds. You may cancel at any time; access continues until the end of the paid term. Unless required by law, fees are non‑refundable and non‑creditable once a term starts.

4) Usage limits & fair use

  • Unique” counts as one input file processed once by a job. A batch of N files counts as N uniques.
  • We may apply reasonable rate limiting and concurrency caps to protect stability. Automated or abusive high‑volume use is not permitted.
  • We may suspend processing that exceeds plan limits or materially degrades the Service.

5) Customer Content & license

  • You retain all rights to the media and materials you upload (“Customer Content”). You grant us a worldwide, non‑exclusive, revocable license to host, process, and transmit Customer Content and generated outputs solely to provide the Service and support.
  • You are responsible for obtaining all necessary permissions for the Customer Content (e.g., music rights, likeness, trademarks) and for complying with applicable laws.
  • You must not upload content that is illegal, infringing, exploitative, or violates a third party’s rights.

6) Acceptable use

  • No unlawful, defamatory, deceptive, or harmful content; no content involving minors; no harassment or abuse.
  • No infringement or circumvention of others’ IP rights or DRM; only upload content you have the rights to use and transform.
  • No reverse engineering, scraping, automated account creation, or interference with the Service.
  • No attempts to extract source models or exploit vulnerabilities.

7) Ownership of outputs & IP

  • As between you and us, and to the extent permitted by law and by any third‑party licenses you choose to incorporate (e.g., replacement music), you own your outputs. We claim no ownership in Customer Content or outputs.
  • The Service, underlying software, models, and brand assets are owned by TDY Group LLC and its licensors.

8) Privacy & confidentiality

Your use of the Service is also governed by our Privacy Policy. We treat Customer Content as confidential and access it only to provide the Service, for security, or where required by law.

9) AI/ML policy

  • We do not use Customer Content, prompts, or outputs to train or fine‑tune models by default.
  • We may offer an opt‑in to share anonymized samples strictly for improving features; you can opt out at any time.

10) Availability & support

  • The Service is provided on a commercially reasonable efforts basis. Occasional downtime, maintenance, or incidents may occur.
  • Hosting is currently in the EU via Hetzner GmbH. Region choice may change with notice.
  • Support levels differ by plan (see above). We may request logs or sample files to troubleshoot.

11) Third‑party services

Some features rely on third‑party services (e.g., payment processors, email delivery, analytics). Their terms and privacy notices apply to your use of those services.

12) Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non‑infringement, and accuracy of outputs. You are responsible for reviewing outputs before use.

13) Limitation of liability

To the maximum extent permitted by law, in no event will TDY Group LLC be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, even if advised of the possibility. Our total liability for any claim relating to the Service will not exceed the amounts paid by you for the Service in the 3 months preceding the event giving rise to the claim.

14) Indemnification

You will indemnify and hold TDY Group LLC harmless from claims, damages, and expenses arising from your Customer Content, your use of the Service in violation of these Terms or applicable law, or your infringement of any third‑party rights.

15) Term & termination

  • You may cancel at any time from your account settings; your access continues until the end of the current term.
  • We may suspend or terminate the Service or your access if you materially breach these Terms, create risk or possible legal exposure, or for non‑payment.
  • Upon termination, we may delete Customer Content and outputs consistent with our retention policy.

16) Governing law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles. Where required by local law, consumers may benefit from mandatory rights of their country of residence.

17) Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new “Last updated” date and, where required, provide additional notice. Continued use of the Service after the effective date constitutes acceptance.
